MBO is one way of property reform in state-owned enterprises in China,facing with some existing problems and obstacles of the performance.This paper redesigns the mode of curved MBO based on trust,incorporating ESOP,open competition mechanism,strategic investors and long-term motivation mechanism,and reinforcing supervision and control over execution,etc.It is hoped that this is a helpful process to standardize the curved MBO and perfect the structure of cooperation management.
